Terms of Service
Effective November 1, 2026
The short version
- You use SudoVault at your own discretion and risk. It comes as is, with no guarantees.
- Our liability is limited as far as the law allows, including for data loss and for data exposed through us or the providers we use.
- You're responsible for what you store, and for keeping your own backups.
- Disputes go to individual arbitration, not class actions, unless you opt out.
This summary is for convenience. The full terms below are what apply.
Agreeing to these terms
These terms are an agreement between you and SudoVault LLC ("we", "us"), covering the SudoVault website, apps and Sudo, its AI assistant (together, "SudoVault"). By creating an account, signing in or using SudoVault, you agree to them and to our Privacy Policy. If you don't agree, don't use SudoVault.
You must be at least 13, or older where local law requires it, and if you're a minor, a parent or guardian must agree for you.
Using SudoVault at your own discretion
SudoVault is a personal organization tool, and you decide what to put in it and how to rely on it. Before launch it's pre-release software, and it may have bugs, change or lose features. It isn't meant to be your only copy of anything important, or to store information you couldn't bear to lose or have exposed, and it isn't designed for emergencies or regulated data such as medical or payment records.
Your account and your content
- You're responsible for your account, for keeping your password private, and for what happens under it.
- What you put in your vault stays yours. You give us only the permission needed to run SudoVault for you, including sending content to providers as our Privacy Policy describes.
- You're responsible for your content and for having the right to store it.
Your data and backups
- Your vault is stored on your devices. Clearing browser data, removing the app, or losing or resetting a device can permanently erase it.
- If you turn on sync, your vault is encrypted with a passphrase only you know. We can't read it, and if you lose both your passphrase and your recovery key, we can't recover it.
- Keep your own backups. Export in Settings saves your vault's text and details, but not your uploaded files, so keep your own copies of those. Exports aren't encrypted, so keep them somewhere safe.
Sudo and AI
Sudo's responses are generated by AI and can be wrong, incomplete or out of date. Check anything important yourself. Sudo doesn't give professional advice, including legal, financial, tax or medical advice. When you use Sudo, content is sent to our AI provider as our Privacy Policy describes. Each plan includes a usage allowance, and Sudo may be unavailable once it's used up.
Third-party providers
SudoVault depends on other companies to run, including for hosting, accounts and storage, AI and payments. Our Privacy Policy lists them. They run their own systems under their own terms, and we don't control them. To the fullest extent the law allows, we aren't responsible for their acts, failures, outages or security incidents.
Acceptable use
Don't use SudoVault to break the law, harm others, or store or share illegal content. Don't try to break into, overload, resell or reverse engineer it, get around its limits, or misuse Sudo.
Plans and payment
Some features need a paid plan. Subscriptions renew until you cancel, and canceling takes effect at the end of the period you've paid for. Except where the law requires otherwise, payments aren't refundable. We may change prices or plan features, and we'll tell you before a price change affects your subscription.
Support and updates
You can reach us at support@sudovault.app. We read what people send, and it helps us improve SudoVault, but we can't promise to respond to every message or fix a particular issue. We release updates regularly, and may add, change or remove features at any time.
Suspending or ending your account
You can stop using SudoVault and delete your account at any time. We may suspend or end access if you break these terms or to protect SudoVault or others, and we may stop offering SudoVault. Sections that by their nature should continue, including the disclaimers, liability limits and dispute terms, continue afterward.
Disclaimers
SUDOVAULT IS PROVIDED "AS IS" AND "AS AVAILABLE". TO THE FULLEST EXTENT THE LAW ALLOWS, WE DISCLAIM ALL WARRANTIES, WHETHER EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT. WE DON'T PROMISE THAT SUDOVAULT WILL BE UNINTERRUPTED, ERROR-FREE OR COMPLETELY SECURE, OR THAT DATA WON'T BE LOST OR EXPOSED.
Limits on our liability
TO THE FULLEST EXTENT THE LAW ALLOWS, SUDOVAULT LLC AND ITS OWNERS, MEMBERS, EMPLOYEES AND SUPPLIERS WON'T BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, GOODWILL OR DATA. THIS INCLUDES LOSS OR EXPOSURE OF DATA CAUSED BY A SECURITY INCIDENT, BUG OR OUTAGE, WHETHER AT SUDOVAULT OR AT A THIRD-PARTY PROVIDER.
TO THE FULLEST EXTENT THE LAW ALLOWS, OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO SUDOVAULT IS LIMITED TO THE GREATER OF WHAT YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM AROSE, OR US$50.
Some places don't allow certain of these limits, so they may not all apply to you. Nothing in these terms limits liability or rights that the law doesn't allow to be limited.
Your responsibility to us
To the extent the law allows, you agree to cover our reasonable losses and costs from claims by others caused by your content, your misuse of SudoVault or your breach of these terms.
Disputes
Please email us first, so we can try to resolve any problem informally within 60 days.
IF WE CAN'T, YOU AND WE AGREE TO RESOLVE DISPUTES THROUGH BINDING INDIVIDUAL ARBITRATION, AND EACH GIVES UP THE RIGHT TO A JURY TRIAL AND TO TAKE PART IN A CLASS OR REPRESENTATIVE ACTION.
The American Arbitration Association will run the arbitration under its consumer rules. Either side may instead bring an individual claim in small claims court, or ask a court to stop misuse of intellectual property. You can opt out of arbitration by emailing support@sudovault.app within 30 days of first agreeing to these terms. Where the law doesn't allow arbitration or this waiver, this section doesn't apply to that dispute.
These terms are governed by the laws of the State of Texas, without regard to conflict-of-law rules, except where the law where you live requires otherwise.
Changes and other terms
If we change these terms, we'll update the date at the top, and for significant changes we'll notify account holders before they take effect. Continuing to use SudoVault afterward means you accept them. If part of these terms can't be enforced, the rest still applies. These terms and our Privacy Policy are the whole agreement between you and us about SudoVault. You can't transfer them without our consent, and we may transfer them, for example in a sale of the business.
